Terms of Service

These Terms of Service ("Terms") govern access to and use of the Amalgament website, consultations, onboarding, client workspace, the systems we build and operate for customers (including our Scout, Forge and Sift engagements), and any related data access, application programming interface, MCP server, dashboards and documentation (collectively, the "Service"), operated by Simple Software LLC ("Amalgament," "we," "us," or "our"). By accessing or using the Service, accepting a proposal, or creating an API key, you ("you" or "Customer") agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
Amalgament builds systems intended to improve the economics of a business: finding and capturing new customers (Scout), creating new sources of revenue (Forge), and removing unnecessary recurring cost (Sift). Depending on the engagement, that work may include research, software, automation, data, websites, integrations, outreach, CRM workflows, billing, analytics and operational changes, and we may operate the resulting systems for you.
Each paid engagement is described in a written proposal, order or statement of work that you accept before paid work begins (an "Engagement"). The Engagement sets out the scope, the fees, any delivery commitments and, where results are measured, how they will be measured. If an Engagement conflicts with these Terms, the Engagement controls for that work. Availability and scope depend on the systems, permissions and information supplied. A connection alone does not mean data has been imported, checked, or made ready for operational use.
Results and measurement
We work toward the outcomes described in an Engagement, but we do not guarantee any particular number of customers, amount of revenue, or level of savings, which depend on your business, your market and factors outside our control. Where an Engagement measures results, we agree with you before launch on the baseline and the source of truth used to measure them (for example, a CRM stage, invoices or payments). We may ask for read-only access to the relevant systems of record so results can be verified. Any fee that depends on measured results is calculated only as the Engagement describes.
Onboarding and permission to connect tools
Booking a call or submitting a brief asks us to review your needs. It does not purchase a subscription or authorize charges. We agree with you on scope, pricing and any delivery commitments before paid work begins. Reviewing your submission is not a guarantee that we can support every system or deliver a particular result.
Provide an email address you control. We use it for setup instructions, tool-connection invitations and communications about your request. Keep secure setup links private. You must have authority to provide the information and grant access to your organization's systems. Do not put passwords, access tokens or confidential customer records in the initial form.
Tool access is granted separately through the provider's authorization process. Submitting the form or accepting these Terms does not itself grant access to an account. During initial assessment, authorization to read information does not authorize us to send messages, change records or make business decisions on your behalf. Any such work requires separately agreed scope and authorization.
You retain your rights in information you provide. You authorize us to process that information, using service providers as described in our Privacy Policy, to assess your request and perform the work you authorize. Your private business data does not become a public API dataset merely because you connect a tool.
You may ask us to stop work or disconnect a tool at drew@amalgament.com. You can also revoke access through the original provider where supported. Disconnecting prevents subsequent access under the revoked grant; it does not automatically delete information already imported. Contact us about deletion and any applicable retention requirements.
2. Public-Record Data; No Independent Verification
Some work, and any public-record data access we provide (including through an API or MCP server), uses information obtained from publicly accessible government and public-record sources, or is derived from such sources. We do not independently verify the accuracy, completeness, timeliness, or fitness of the underlying records. Data is provided "as is" and "as available." Public records may contain errors, omissions, or outdated information originating from the source. You are responsible for independently verifying any information before relying on it.
3. Accounts and API Keys
The client workspace uses an authenticated setup link or account, and any API access requires an API key. You are responsible for keeping your key confidential and for all activity under your key. Notify us promptly of any unauthorized use. We may issue, rate-limit, suspend, or revoke keys, and enforce usage tiers and quotas, at our discretion. You may not share, resell, or sublicense your key without our written consent.
4. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy ("AUP"), which is incorporated into these Terms by reference. In particular, and without limiting the AUP:
- No eligibility use / FCRA. You will not use the Service, in whole or in part, as a factor in establishing an individual's eligibility for credit, insurance, employment, housing, tenant screening, or any other purpose regulated by the federal Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) or analogous state laws. The Service is not a consumer reporting agency and the data is not a consumer report.
- No public-record profiling or re-identification. You will not use public-record Results to assemble personal profiles, conduct surveillance, re-identify individuals, or infer sensitive characteristics. Authorized private-business workflows may organize your existing business relationships within the agreed scope; this does not permit eligibility decisions, surveillance or other prohibited uses.
- No harassment or targeting. You will not use the Service to harass, stalk, threaten, or facilitate harm to any person, or to target the personal information of protected individuals (including under laws such as New Jersey's Daniel's Law).
- Comply with law. You will use the Service only for lawful purposes and in compliance with all applicable laws.
We may suspend or terminate access for any violation, with or without notice.
5. Data Removal / Suppression Requests
We maintain a process for individuals and authorized parties to request suppression or removal of specific records surfaced through the Service where required by law or our policies. Requests may be submitted to drew@amalgament.com. We will review and respond consistent with applicable law.
6. Fees
Fees are set out in the Engagement you accept before paid work begins. Depending on the Engagement they may be fixed, recurring, or tied to results measured as the Engagement describes. Unless the Engagement says otherwise, fees are billed as stated in it and are non-refundable except as required by law, and either party may end a recurring Engagement as it provides. Your own software subscriptions, advertising spend and other third-party costs remain your responsibility unless the Engagement says otherwise. Customers who subscribed to a previously published monthly plan keep that plan's terms, including any cancellation and refund terms stated when they subscribed, until they change or cancel it.
7. Your Data, Deliverables and Data Results
You retain your rights in your business data. Ownership of and rights to deliverables built in an Engagement are as set out in that Engagement; where it is silent, we grant you a non-exclusive, perpetual license to use the deliverables we deliver to you for your own business, and we retain our pre-existing tools, methods, software and know-how.
For public-record data access, subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Service and use the data you retrieve ("Results") for your internal or product purposes, in compliance with the AUP and applicable source-data terms. You will not (a) use the Service to build a competing bulk-redistribution database, or (b) redistribute the raw Results in bulk in a manner that circumvents the Service. Facts are not owned by us; this Section governs the Service and compiled Results, not the underlying public facts.
8. Disclaimers
THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA IS ACCURATE OR CURRENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Amalgament AND SIMPLE SOFTWARE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID NOTHING.
10. Indemnification
You will indemnify and hold harmless Amalgament and Simple Software LLC from claims arising out of your use of the Service or Results, your violation of these Terms or the AUP, or your violation of any law or third-party right, including any use of the data for an eligibility, profiling, or targeting purpose prohibited above.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or the AUP, for legal or security reasons, or on notice. Sections 2, 7 through 10, and 12 survive termination.
12. Governing Law; Changes; Contact
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. We may update these Terms prospectively; material changes will be posted with a new "Last updated" date. Questions: drew@amalgament.com.
